1. About these terms
NeuroParts is provided by NeuroParts Ltd, a company registered in England and Wales, with its registered office at Unit 5D, The Hollows Business Park, Winslow Road, Little Horwood, Milton Keynes MK17 0PD, United Kingdom ("we", "us").
These terms apply when a business ("you") creates a NeuroParts account, starts a trial or uses NeuroParts. The person who accepts them confirms that they may bind that business. NeuroParts is for businesses only, not for consumers.
If you have signed a Subscription Agreement or Trial Agreement with us, that agreement applies instead of these terms where the two differ.
2. Accounts and trials
- You are responsible for everyone you give access to, for keeping log-in details secure, and for what is done in your account.
- A free trial lasts 14 days unless we agree otherwise. During a trial NeuroParts is provided as it is, without the commitments in sections 8 and 11.2, and we may end a trial at any time.
- If a trial ends without a paid plan, we keep your data for 30 days so you can subscribe or export it, then delete it.
3. Acceptable use
You must not, and must not let anyone else:
- copy, modify or create works based on NeuroParts, its screens, workflows, pricing formulas or documentation;
- decompile or reverse engineer NeuroParts, or try to work out its source code, data models or pricing logic, except where the law allows it;
- use NeuroParts, or what you learn from it, to build or improve a competing product;
- share log-in details, or resell or white-label NeuroParts to third parties without our written agreement;
- use bots, scrapers or other automated tools against NeuroParts, or get around usage limits or security measures;
- upload or send malware, or content that is unlawful, infringes someone else's rights, or that you have no right to use;
- upload designs for firearms, weapon parts or other items you may not lawfully make or supply, or export-controlled technical data without the required licences;
- use the email, WhatsApp, LinkedIn or other messaging features to send spam or messages that break the law or those platforms' rules.
If you break these rules, we may suspend access straight away, remove the content concerned and end your account, and you are responsible for the losses that follow from the breach.
4. Your customers and the customer portal
NeuroParts lets you give your own customers a portal to upload files, receive quotes, place orders and pay. You decide your prices, lead times and terms of sale, and you are responsible for your relationship with your customers, including your own terms and privacy notice. We are not a party to any sale between you and your customers, and payments go to your own payment account.
You are responsible for making sure your customers use the portal in line with section 3. We may block a customer's upload or access if it breaks those rules.
5. Fees and payment
- Paid plans are charged at the prices agreed when you subscribe, in advance for each billing period, plus VAT where it applies.
- Invoices are payable within 14 days, or are charged to the payment method on file.
- If a payment is more than 14 days late, we may charge interest at 4% a year above the Bank of England base rate and, after 7 days' written notice, suspend access until it is paid. We do not delete your data during a suspension.
- We may change prices from your next renewal by giving at least 60 days' notice. If you do not accept the change, you can stop your plan from renewing.
- Fees already paid are not refunded, except where these terms say otherwise or the law requires.
6. Your data
You own the data, files and content you and your customers put into NeuroParts ("your data"). You give us permission to host, copy, process and display it only as needed to provide, secure and support NeuroParts.
We may use anonymised, aggregated statistics that do not identify you, your customers or any person, to run and improve NeuroParts. We do not use your data, including uploaded models and drawings, to train AI models made available to other customers.
For personal data in your data, you are the controller and we are your processor. Our Data Processing Addendum forms part of these terms; you can ask us for a copy at any time. Our privacy notice explains how we handle personal data as a controller.
You can export your quotes, orders, customer records, price settings and files at any time. When your account ends, we keep your data for 30 days so you can export it, then delete it within a further 30 days, except where the law requires us to keep it.
7. Quotes, prices and AI features
Prices, lead times, material estimates and AI suggestions in NeuroParts are worked out from your own settings and inputs. You are responsible for checking them before you send them to a customer. We do not promise that they are accurate or right for any particular order, and we are not responsible for a price or promise you send.
8. Availability and support
We will use reasonable efforts to keep NeuroParts available and working as described, apart from planned maintenance and events outside our reasonable control. We provide support by email and in-app chat in English and Turkish on UK working days. We may improve and change NeuroParts, but will not remove a core feature of a paid plan during its current term without your agreement.
Some features connect to services run by other companies, such as payment providers, email, WhatsApp, LinkedIn, couriers or machines. Those services have their own terms, and we are not responsible for their availability or charges.
9. Intellectual property and feedback
We and our licensors own NeuroParts and all rights in it. You get only the right to use it under these terms. If you send us ideas or feedback, we may use them freely to improve NeuroParts.
10. Confidentiality
Each of us will keep the other's non-public information confidential and use it only for the purpose of these terms. This does not cover information that is already public, that the receiving party already knew or developed itself, or that the law requires it to disclose.
11. Liability
11.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
11.2 Neither of us is liable for loss of profits, revenue, business, contracts, goodwill or anticipated savings, or for indirect or consequential loss. Each party's total liability in any 12-month period is limited to the fees you paid in the 12 months before the event that caused the claim, or £100 if you have paid nothing.
11.3 Section 11.2 does not limit your obligation to pay fees or your liability for breaking section 3.
11.4 Except as set out in these terms, all warranties and conditions are excluded to the extent the law allows.
12. Ending your account
You can cancel at any time in the app or by email. Cancellation takes effect at the end of the billing period you have paid for, or at the end of any minimum term agreed when you subscribed. We may end your account on 30 days' notice, or straight away if you seriously break these terms or become insolvent. Sections 3, 6, 9, 10, 11 and 14 continue after the account ends.
13. Changes to these terms
We may update these terms. We will give at least 30 days' notice by email or in the app before a change that affects you materially takes effect. If you keep using NeuroParts after that, the new terms apply. If you do not agree, you can cancel before the change takes effect.
14. General
You may not transfer your account or these terms without our written agreement. We may transfer them to a company in our group or to a buyer of our business. Neither of us is liable for delays caused by events outside our reasonable control. If any part of these terms is invalid, the rest still applies. No one else has rights under these terms. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
